Acceptance of Terms

By accessing or using Klipp (klipp.video and app.klipp.video), you agree to be bound by these Terms of Service. Klipp is operated by Bahia Ventures USA LLC, a Delaware limited liability company. If you do not agree to these terms, do not use our service.

Eligibility

You must be at least 18 years old to use Klipp. By creating an account, you confirm that you are 18 or older.

Account Registration

You are responsible for maintaining the accuracy of your account information and keeping your login credentials secure. You are responsible for all activity that occurs under your account.

User Content and Copyright

You retain ownership of all content you upload to Klipp. By uploading content, you grant Klipp a non-exclusive, worldwide, royalty-free license to host, store, and display your content solely for the purpose of providing the service to you.

You are solely responsible for ensuring that you have all necessary rights, licenses, and permissions to upload and use any content on Klipp. You must not upload content that infringes on the copyright, trademark, or other intellectual property rights of any third party.

Klipp does not verify the ownership or licensing of user-uploaded content and assumes no liability for content uploaded by users. If you upload content that you do not have the right to use, you may be held liable for any resulting claims or damages.

We reserve the right to remove any content that we believe, in our sole discretion, violates these terms or infringes on the rights of others.

Klipp Learn marketplace and instructor terms

Klipp Learn allows approved instructors to publish educational videos and courses for sale inside Klipp. Instructors are solely responsible for the legality, accuracy, and ownership of any learning content they upload, publish, or sell, including translations, subtitles, and dubbed variants generated from that content.

By enabling AI dubbing, captions, or other localization features, the instructor confirms that Klipp may submit the relevant media and transcript data to third-party AI providers in order to generate localized assets. Klipp does not guarantee that AI-generated translations, captions, timing, or dubbed performances will be error-free, culturally appropriate, or suitable for any regulated or safety-critical use.

Purchases of Klipp Learn content grant the buyer a personal, non-transferable license to access that content inside Klipp for the lifetime of the content on the service, except where access must be limited or removed for legal, policy, technical, fraud, abuse, licensing, takedown, or compliance reasons.

Instructor payouts depend on successful Stripe Connect onboarding, continued compliance with our policies, the absence of fraud or disputes, and any reserves, holds, reversals, refunds, or deductions that Klipp determines are reasonably necessary to operate the marketplace.

Copyright Complaints (DMCA)

If you believe your copyrighted work has been used on Klipp without authorization, please contact us at [email protected] with a description of the copyrighted work, the location of the allegedly infringing content, and your contact information. We will investigate and take appropriate action, which may include removing the content.

Intellectual Property

The Klipp name, logo, software, and design are the property of Bahia Ventures USA LLC. You may not use our branding or intellectual property without prior written permission.

AI Tools

Klipp's AI Tools — lyrics, chords, and stem separation — are produced by third-party AI providers. These results are generated automatically and are not guaranteed to be accurate, complete, or free of errors. You remain responsible for verifying any rights you have to upload the source audio and for correcting or editing the generated output before relying on it.

Stems are not provided for YouTube-sourced videos. For YouTube inputs, AI Tools are limited to lyrics and chords. Your use of YouTube content remains subject to YouTube's Terms of Service.

Non-refundable. AI Tools are delivered digital goods. One-time AI Tools purchases and AI Tools credits consumed are non-refundable once the artifact has been delivered to your account, including when delivery is instantaneous because another user has previously generated results for the same audio. Credits are account-bound, non-transferable, have no cash value, and are forfeit on account closure.

Cached results. To keep AI Tools fast and affordable, Klipp may reuse previously generated artifacts across users when the underlying audio is identical. You are charged (or a credit is consumed) when you purchase AI Tools for a song, regardless of whether Klipp needs to run the underlying AI provider to produce the artifacts. The delivered artifacts are yours to use under these terms for as long as your account is active.

Subscriptions & Billing

Pro subscriptions are billed monthly in advance through our payment processor, Stripe. Pro includes unlimited saved videos, collections, clips, and playlists, plus a monthly grant of AI Tools credits that roll over indefinitely while your account is active. You may cancel your subscription at any time from the Billing page; cancellation takes effect at the end of the current billing period and existing entitlements and remaining credits remain on your account.

Promotional coupons (for example, LAUNCH26) may be applied at checkout and remain in effect until the promotion ends or your subscription is canceled. Prices may change for new subscribers; existing subscribers continue at the price in effect at the time of their most recent successful payment.

Disclaimer of Warranties

Klipp is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Limitation of Liability

To the maximum extent permitted by law, Bahia Ventures USA LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, arising from your use of Klipp.

Termination

We may suspend or terminate your account at any time if we believe you have violated these terms. Upon termination, your right to use the service ceases immediately. We may delete your account data after termination.

Governing Law

These Terms of Service are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated terms on this page with a new "Last updated" date. Your continued use of Klipp after changes are posted constitutes acceptance of the updated terms.
